TERMS AND CONDITIONS Effective Date: May 2026 Chapter 1 1. Nature of the Service These Terms and Conditions ("Terms") govern the access and use of the mobile application and related services provided by Conlux Rides LLC, a company registered in the state of Florida, United States ("Conlux", "we", "our"). Conlux operates under the trade name "Conlux" and provides a technology platform (the "Platform") that allows users to: • Request and manage scheduled transportation services • Connect with independent drivers 1.1 Service intermediary role Conlux is not a transportation company and does not provide transportation services. The Platform acts solely as a technology intermediary connecting: • Users requesting services ("Customers"), and • Independent drivers offering services ("Drivers") Conlux does not participate in the actual transportation service. 1.2 Driver independence Drivers using the Platform: • Are independent contractors • Are not employees, agents, or representatives of Conlux Each Driver is solely responsible for: • Maintaining valid licenses • Maintaining adequate insurance • Complying with applicable laws Conlux assumes no responsibility for Driver compliance. 1.3 Limited verification Conlux may request documentation for basic validation purposes. However, Conlux: • Does not guarantee the validity or adequacy of insurance • Does not conduct full audits • Is not responsible for such documentation 1.4 Customer-Driver relationship All transportation-related agreements are strictly between Customer and Driver. This includes: • Booking acceptance • Service conditions • Cancellations • Payments Conlux is not a party to these agreements. 1.5 Payments outside the Platform Transportation payments: • Are made directly between Customer and Driver • Are not processed by Conlux Conlux does not: • Guarantee payments • Handle refunds • Mediate payment disputes 1.6 Service execution Conlux does not supervise or control the physical execution of transportation services. However, the Platform may provide real-time digital tools to facilitate coordination between users, including status updates, notifications, and operational features. Conlux: • Does not guarantee quality, safety, or punctuality • Does not intervene in service execution • Is not responsible for user conduct 1.7 General service limitation The Platform is provided "as is" and "as available." Conlux does not guarantee: • Availability of Drivers • Suitability of Drivers • Continuous or error-free operation Chapter 2 2. Use of the Platform Access to and use of the Platform is subject to compliance with these Terms. By using the Platform, you agree to do so responsibly, legally, and in accordance with these conditions. 2.1 Permitted use Users may use the Platform only to: • Request and manage transportation services (Customers) • Offer transportation services independently (Drivers) The Platform must be used in good faith and for its intended purpose. Unauthorized commercial use is strictly prohibited, including reselling services or using the Platform as an external intermediary. 2.2 Prohibited use The following activities are strictly prohibited: 🔴 Fraudulent activity • Creating fake bookings • Repeated cancellations to harm others • Creating multiple accounts to manipulate the system 🔴 False information • Providing inaccurate or misleading data • Using invalid contact details • Submitting false documents (Drivers) 🔴 Identity misuse • Impersonation • Unauthorized account use • Sharing accounts 🔴 Platform misuse • Using the Platform outside its intended purpose • Interfering with system operation • Bypassing security measures • Scraping, data extraction, or reverse engineering 🔴 Illegal activity • Using the Platform for unlawful purposes • Transporting illegal goods • Coordinating illegal actions 🔴 Inappropriate conduct • Harassment or threats • Misuse of contact information • Any behavior affecting user safety 2.3 Use of user information Information shared between users must only be used for service coordination. Users may not: • Use it for commercial purposes • Contact others outside service context • Share or disclose user data 2.4 Driver obligations Drivers agree to: • Maintain accurate information • Comply with laws • Maintain valid licenses and insurance • Act professionally 2.5 Account suspension and termination Conlux may, at its sole discretion and without prior notice: • Suspend or deactivate accounts • Restrict Platform access • Remove content This may occur in cases of: • Violation of Terms • Fraud or misuse • Security risks Such actions may occur without liability and without compensation. 2.6 Service availability Conlux does not guarantee continuous availability and may: • Modify features • Suspend services • Make changes without notice 2.7 User responsibility Users are responsible for: • Their actions on the Platform • Decisions made with other users • Compliance with applicable laws Chapter 3 3. Liability and Limitation of Liability 3.1 Nature of liability Conlux acts solely as a technology intermediary and does not participate in the provision of transportation services. Accordingly, Conlux assumes no responsibility for: • The execution of transportation services • The conduct of Drivers or Customers • Any interaction between users 3.2 Transportation services disclaimer Transportation services are provided exclusively by independent Drivers. Conlux shall not be liable for any damages arising from: • Accidents • Personal injury • Property damage • Delays or cancellations • Service failures All responsibility lies solely with the Driver providing the service. 3.3 Disclaimer of warranties The Platform is provided "as is" and "as available." Conlux makes no warranties of any kind, including: • Fitness for a particular purpose • Continuous availability • Error-free operation 3.4 Limitation of indirect damages To the maximum extent permitted by law, Conlux shall not be liable for: • Indirect damages • Incidental damages • Special or consequential damages Including: • Loss of revenue • Loss of business opportunities • Business interruption • Data loss 3.5 Limitation of liability To the maximum extent permitted by law, Conlux's total liability shall be limited to the greater of: • The amount paid by the user to Conlux in the past 12 months, or • One hundred U.S. dollars (USD $100) If such limitation is not permitted, the maximum limitation allowed by law shall apply. 3.6 Use at your own risk Users acknowledge that: • They use the Platform at their own risk • They select Drivers at their own discretion • They assume risks associated with user interactions 3.7 Force majeure Conlux shall not be liable for failures caused by events beyond its control, including: • Network failures • Third-party service interruptions • Natural disasters • Provider failures Chapter 4 4. Payments, Memberships, and Cancellations 4.1 Nature of payments The Platform distinguishes between: • Driver membership payments • Transportation service payments Transportation payments: • Are agreed directly between Customer and Driver • Are made outside the Platform • Are not processed by Conlux Conlux does not act as a financial intermediary and does not set transportation prices. 4.2 Driver memberships Drivers may choose to purchase a membership that provides access to additional Platform features. Memberships: • Are optional • Are offered as recurring subscriptions • Renew automatically unless canceled 4.3 Payment processing Membership payments are processed through authorized third-party providers such as Stripe. By making a payment, the Driver agrees to: • The payment provider's terms • That Conlux does not store full payment details 4.4 Membership cancellation Drivers may cancel their subscription at any time. Cancellation: • Prevents future renewals • Does not affect access during the paid period 4.5 Refund policy Unless required by applicable law, membership payments are non-refundable. This includes: • Unused periods • Early cancellations • Lack of usage 4.6 Transportation payments Transportation payments: • Are solely between Customer and Driver • May be made using any method agreed by both parties Conlux: • Does not process such payments • Does not guarantee payment • Does not intervene in disputes 4.7 Service cancellations Cancellations are handled directly between Customer and Driver. Conlux: • Provides cancellation functionality • Does not impose mandatory policies • Does not intervene in agreements 4.8 Pricing responsibility Transportation prices: • Are not determined by Conlux • Are set by the Driver or agreed between users Conlux does not guarantee pricing accuracy or enforcement. Chapter 5 5. Governing Law and Dispute Resolution 5.1 Governing law These Terms shall be governed by and interpreted in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. 5.2 Dispute resolution To the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of: • Use of the Platform • These Terms • The relationship between the user and Conlux shall be resolved through binding arbitration rather than in court. 5.3 Arbitration Arbitration shall be: • Confidential • Administered by a recognized arbitration body (such as the American Arbitration Association – AAA) or similar organization • Conducted by a neutral arbitrator • Final and binding on the parties The arbitration shall take place in the State of Florida, unless otherwise required by applicable law. 5.4 Waiver of jury trial To the maximum extent permitted by law, the parties waive any right to a trial by jury. 5.5 Class action waiver Users agree that any claims must be brought individually. The following are not permitted: • Class actions • Representative actions • Consolidated claims 5.6 Exceptions Nothing in this section prevents either party from: • Filing claims in small claims court • Seeking injunctive or emergency relief • Enforcing intellectual property rights 5.7 Jurisdictional limitations In jurisdictions where arbitration or class action waivers are not enforceable, these provisions shall apply only to the extent permitted by law.
