DRIVER TERMS Effective Date: May 2026 Chapter 1 1. Driver Eligibility and Registration 1.1 Nature of the relationship By registering as a Driver on the Platform, you acknowledge and agree that: • You act as an independent contractor • You are not an employee, agent, partner, or representative of Conlux Rides LLC ("Conlux") • No employment, franchise, joint venture, or partnership relationship exists The Driver operates as an independent service provider and is solely responsible for the services provided. Nothing in these Terms shall be interpreted as creating an employment relationship. 1.2 Operational independence Drivers retain full control over how they perform their services, including: • Accepting or rejecting bookings • Determining availability and working hours • Choosing when to connect or disconnect from the Platform • Providing services through other platforms or independently Conlux does not control how services are performed. 1.3 Independent activity Drivers acknowledge that they: • Operate their own business or economic activity • Are responsible for their income, expenses, and taxes • Are not economically dependent on Conlux Use of the Platform does not create exclusivity. 1.4 Eligibility requirements Drivers must: • Be at least 18 years old • Hold a valid driver's license • Have a suitable vehicle • Maintain valid insurance • Comply with applicable laws Conlux may accept or reject applications at its sole discretion. 1.5 Information and documentation Drivers must provide information that is: • Accurate • Complete • Up to date Including: • Personal data • Vehicle information • Required documentation 1.6 Responsibility for documentation Drivers are solely responsible for: • Validity of documents • Keeping them updated • Accuracy of submitted information 1.7 Limited verification Conlux may review documentation for basic validation purposes. Drivers acknowledge that: • Conlux does not conduct full verification • Does not guarantee authenticity • Is not responsible for documentation Chapter 2 2. Driver Obligations 2.1 Service performance The Driver is solely responsible for the transportation services provided through the Platform. By accepting a booking, the Driver agrees to: • Fulfill the agreed service • Perform services in a safe, diligent, and professional manner • Respect the conditions agreed with the Customer Failure to comply may result in warnings, suspension, or termination. 2.2 Professional conduct Drivers must maintain professional and respectful behavior at all times, including: • Respectful treatment • Clear communication • Conduct that does not endanger users Inappropriate behavior may result in immediate suspension. 2.3 Safety and legal compliance Drivers are responsible for: • Operating the vehicle safely • Complying with all traffic laws • Ensuring legal service operation Drivers assume full responsibility for their actions. 2.4 Vehicle condition Drivers must maintain their vehicle in suitable condition, including: • Proper mechanical condition • Reasonable cleanliness • Accurate representation of vehicle characteristics Failure to comply may result in suspension. 2.5 Fitness to operate Drivers must not operate under the influence of: • Alcohol • Drugs • Any impairing substances Violation will result in immediate suspension or termination. 2.6 Prohibited activities Drivers may not: • Use the Platform for illegal activities • Transport illegal goods • Misuse the Platform • Endanger user safety 2.7 Booking compliance Drivers must honor accepted bookings. Non-compliance includes: • Frequent cancellations • Last-minute cancellations without justification • Failure to provide service This may affect Platform access. 2.8 Responsibility toward users Drivers are responsible for any damage caused to: • Customers • Third parties • Property including personal, material, or financial damages. 2.9 Platform use Drivers must use the Platform only for intended purposes and in compliance with these Terms. Misuse may result in suspension or termination. Chapter 3 3. Suspension, Control, and Platform Access 3.1 Control authority Conlux reserves the right, at its sole discretion, to monitor the use of the Platform and take any action necessary to protect its operation, user safety, and compliance with these Terms. 3.2 Actions available Conlux may, at any time and without prior notice: • Issue warnings • Temporarily suspend account access • Restrict Platform functionality • Permanently deactivate or terminate accounts These actions may be applied immediately and without a progressive process. 3.3 Grounds for action Conlux may take action if, in its judgment, the Driver: • Violates these Terms • Affects user experience • Receives repeated complaints • Fails to fulfill accepted bookings • Frequently cancels services • Provides false information • Engages in fraudulent activity • Endangers safety • Violates applicable laws 3.4 Potential risk Conlux may act not only in cases of confirmed violations but also when it reasonably believes there is a potential risk to: • User safety • Platform integrity • Service reputation 3.5 Account termination Conlux may permanently terminate a Driver account at any time, without prior notice. Termination results in: • Loss of access • Removal of benefits • Inability to continue operating 3.6 No liability The Driver acknowledges that Conlux may take these actions: • Without prior notice • Without detailed justification • Without liability • Without compensation 3.7 Final decisions All decisions regarding warnings, suspensions, or termination are made at Conlux's sole discretion and are final. Chapter 4 4. Driver Responsibility 4.1 Exclusive responsibility The Driver acknowledges and agrees that they are solely and exclusively responsible for all transportation services provided through the Platform. Use of the Platform does not transfer any responsibility to Conlux. 4.2 Service execution The Driver is fully responsible for service execution, including: • Driving the vehicle • Interacting with the Customer • Fulfilling service conditions • Decisions made during service Conlux does not participate in service execution. 4.3 Accidents and damages The Driver is fully responsible for any accident, damage, or loss occurring during service, including: • Vehicle damage • Personal injuries • Damage to Customers • Damage to third parties • Damage to public or private property The Driver assumes all legal, civil, administrative, and financial consequences. 4.4 Customer responsibility The Driver is responsible for any service failure or harm caused to Customers, including: • Failure to fulfill bookings • Inappropriate conduct • Personal or material damages 4.5 Third-party responsibility The Driver is responsible for any damage caused to third parties, including: • Pedestrians • Other drivers • Public or private property 4.6 Insurance The Driver is responsible for maintaining adequate insurance. The Driver acknowledges that: • Coverage is their responsibility • Conlux does not verify or guarantee insurance • Conlux is not liable for insurance-related claims 4.7 Taxes The Driver is responsible for: • Reporting income • Paying taxes • Complying with tax obligations Conlux is not an employer and does not withhold taxes. 4.8 Indemnification The Driver agrees to indemnify, defend, and hold harmless Conlux and its affiliates from any: • Claims • Lawsuits • Damages • Losses • Liabilities • Fines • Penalties • Expenses (including legal fees) arising from: • Transportation services • Use of the Platform • Violation of these Terms • Legal or regulatory violations 4.9 Use at own risk The Driver acknowledges that they use the Platform at their own risk and are fully responsible for their activities. Chapter 5 5. Governing Law and Dispute Resolution 5.1 Governing law These Terms shall be governed by and interpreted in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. 5.2 Dispute resolution To the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of: • Use of the Platform • These Terms • The relationship between the Driver and Conlux shall be resolved through binding arbitration rather than court proceedings. 5.3 Arbitration Arbitration shall be: • Confidential • Administered by a recognized arbitration body (such as the American Arbitration Association – AAA) or similar • Conducted by a neutral arbitrator • Final and binding The arbitration shall take place in the State of Florida, unless otherwise required by applicable law. 5.4 Waiver of jury trial To the maximum extent permitted by law, the Driver waives the right to a jury trial. 5.5 Class action waiver The Driver agrees that all claims must be brought individually. No class actions or collective proceedings are permitted. 5.6 Exceptions Nothing prevents either party from: • Filing in small claims court • Seeking injunctive relief • Enforcing intellectual property rights 5.7 Jurisdictional limitations Where arbitration or waivers are not enforceable, they shall apply to the extent permitted by law.
